Advising the CEO of LISI S.A. regarding the compensation policy
applied to the seniormanagers of eachGroup subsidiary.Within the
scope of this advisory role, the Compensation Committee submits
to the Board all proposals relating to incentive and profit-sharing
schemes for theGroup’s topmanagement, inparticularwithregard to
the company'spolicy in termsof compensation in shares, their terms
andconditions,aswellasthetermsofeligibility.
It also presents its recommendations regarding the appearance fees
awardedtodirectorsandtomembersoftheBoard’sCommitteesandthe
payscaleappliedtothese fees.
2.4.3Operatingprocedures
The Committee meets a minimum of twice a year. Its work leads to
the drafting of a written report that allows the Board to remain fully
informed, thus facilitating itsdeliberation.
TheCommitteemet twice in2013. Itpresented its recommendations to
theBoardonthe following issues:

The fixed compensation paid to members of LISI S.A.’s General
Management and toChief ExecutiveOfficersof thegroup’sDivisions,
aswellasthecalculationrulesthatapplytothevariableportionofthis
compensation, known as the Objective-Related Bonus. This portion
dependschieflyonmeetingannualobjectivesongrowth,revenueand
netborrowing.

THESTRATEGICCOMMITTEE
TheStrategicCommittee ismadeupof5members,themajorityofwhich
cannot be corporateofficers.Members of this Committee areMrs. Lise
Nobre, Messrs. Gilles Kohler, Jean-Philippe Kohler, Emmanuel Viellard
andPascalLebard.TheCommittee ischairedbyMr.GillesKohler.

employeedesignatedas suchor a corporateofficer (current or having
beenso for lessthan fiveyears)holdsadirector'smandate;
–not being a client, supplier, investment banker or financial banker: of
significant importance for the company, or forwhom the companyor
itsgrouprepresentsamajorshareofactivities;
–notbeingacloserelativeofacorporateofficer;
–nothavingbeenacompanyauditor fortheprevious fiveyears;
–nothavingbeenacompanydirector formorethantwelveyears.

who are not linked directly or indirectly to the reference shareholders
whichareCIKO, FFPandVIELLARDMIGEON&CIE (details inparagraph
2.8.1ofthisdocument).
