AuditCommittee:
TheCommitteemettwice in2014.
Itheard theAuditors report on theperformanceof their taskandwas
informed by the company’s Internal Control Manager. Information
relating to the consolidation perimeter and to the off-balance sheet
risksdescribedintheappendixtotheconsolidatedfinancialstatements
was sent to the Audit Committee, which submitted a report on its
work to the Board of Directors. The Committee also reviewed the
impairmenttests, thecontroloftheGroup'smajor investmentsandthe
riskofcompetingtechnologicaldevelopments.

CompensationCommittee:
TheCommitteemettwice in2014.
It presented its recommendations to the Council on the rules of
remuneration of senior staff of LISI S.A., both fixed and variable; it
shouldbenoted that in2014, thevariablepart calledBonusonTargets
was linkedtotheachievementofannualtargets intermsofprofitability
(operating margin), cash flow (free cash flow) and management
(compliance with the strategic and operational action plans). The
CommitteealsoproposedtotheBoardtheconditions forawardingthe
2011and2014performanceshareplans.

TheCommitteemetonce in2014.
ItreviewedtheGroup's2014-2018strategicplanpresentedbythesenior
managementofLISIS.A.,togetherwiththeleadersoftheaerospaceand
automotivedivisionsandapprovedthestrategicorientationsthatwere
exposed to it indetailaswellas thekey figures in thisplan. Italso took
noteofthekey issuesthatderivedandthatseniormanagement intends
toaddressduring fiscal2015.
